Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of TeamPulse ("the Service," "we," "our," or "us"), a team feedback and pulse survey platform.

By accessing or using TeamPulse, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Account Terms

1. Account Creation

• You must be at least 16 years old to use TeamPulse
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account and password
• You are responsible for all activities that occur under your account
• One person or legal entity may not maintain more than one free account

2. Account Security

You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Not share your account with others
• Use a strong, unique password

3. Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or at our discretion.

Service Description

TeamPulze provides:

• Pulse survey creation based on Team Health framework (Google's Project Aristotle) and eNPS
• Anonymous team member response collection
• AI-powered insights and trend analysis
• Team management and collaboration tools
• Historical tracking of team health metrics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or to violate any laws
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Service or other accounts
• Use automated systems (bots, scrapers) without permission
• Reverse engineer, decompile, or disassemble the Service
• Remove or modify any copyright, trademark, or proprietary notices
• Use the Service to send spam or unsolicited messages
• Upload malicious code, viruses, or harmful content
• Impersonate another person or entity
• Collect or store personal data of other users without consent

Payment Terms

1. Subscription Plans

TeamPulze offers both Free and Paid subscription plans. All plans include access to pulse survey creation, anonymous response collection, team management tools, and historical tracking.

2. Billing

• Subscriptions renew automatically unless canceled
• You authorize us to charge your payment method on each billing cycle
• Prices may change with 30 days' notice
• No refunds for partial months or unused features

3. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access until then. Upon downgrade to Free Plan, usage limits will apply immediately at the start of the next billing period.

4. Payment Disputes

Contact us within 30 days of any billing issue. We will work in good faith to resolve disputes.

Intellectual Property

1. Our Content

The Service, including all software, designs, text, graphics, and trademarks, is owned by TeamPulse and protected by copyright, trademark, and other intellectual property laws.

2. Your Content

You retain ownership of content you submit (survey questions, responses, feedback). By using the Service, you grant us a license to:

• Store, process, and display your content to provide the Service
• Generate AI insights from aggregated, anonymized data
• Use aggregated, anonymized data to improve the Service

3. Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

User Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy commitments:

• Survey responses are anonymous to managers by default
• We do not sell your personal data
• You can export or delete your data at any time
• We comply with GDPR and other privacy regulations

Limitation of Liability

IMPORTANT: PLEASE READ CAREFULLY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMPULSE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, errors, or data loss
• User content or conduct
• Third-party services or links

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free operation
• Warranties regarding the accuracy or reliability of results
• Warranties that the Service will meet your requirements

We do not guarantee that AI-generated insights will be accurate, complete, or suitable for any purpose.

Indemnification

You agree to indemnify and hold harmless TeamPulse from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit to the Service

Dispute Resolution

1. Informal Resolution

Before filing a claim, you agree to contact us at legal@teampulze.com to attempt to resolve the dispute informally.

2. Governing Law

These Terms are governed by the laws of Sweden, without regard to conflict of law principles.

3. Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TeamPulse regarding the Service.
